Position Summary:
The Corporate Paralegal will be responsible for gathering, preparing and summarizing relevant materials for use by the GC. The Corporate Paralegal will review, summarize and proofread agreements, facilitate business transactions, collect and assemble documents for data room management for M&A and other corporate transactions, discovery in litigation and pre-litigation, project management for new product launches, and more generally assist the GC with all facets of the legal department. The Corporate Paralegal must be highly motivated, have a superior work ethic and enjoy working in a high pace environment to help support and coordinate internal and external legal work.
Position Duties and Responsibilities:
Assist GC and/or Legal Department with document collection and production for M&A due diligence/virtual data room, prepare M&A agreement schedules and related matters
Review, track, and monitor legislation that impacts the company’s products, industry and/or business
Update the GC with timely analysis and summaries of new legislation/regulations
affecting the business
Generate reports (MS WORD), presentations (POWERPOINT), tables and charts (EXCEL), as directed by the GC
Revise documents per GC or attorney instructions
Collect and maintain all corporate records of all TLC legal entities around the world
Work with external counsel globally to identify corporate legal requirements and ensure compliance
Prepare and/or update Legal Department tasks in project management tool per instructions of GC
Review marketing materials to ensure regulatory compliance (FTC, FDA, etc.)
Conduct various internet research (Google, social media, etc.) as required by the GC and/or the Legal Department
Liaise with other TLC Departments to collect various information/documents needed by the Legal Department
Provide support related to litigation, mediation, arbitration, and responses to complaints and subpoenas
Prepare and review confidentiality agreements with attorney supervision
Collect, maintain and renew company trademarks
Renewing and maintaining company licenses
Draft, file and manage various business entity documents for corporations
Draft legal correspondence and other documents
Revise contracts with attorney supervisions
Perform other duties assigned by the GC
Anticipate the needs of Legal Department in order to ensure seamless and positive experience
Position Skills, Education and Experience required:
Certificate of completion from an ABA-approved paralegal certification program of
education and training, or an associate degree in paralegal studies
Extensive proven experience with Microsoft Office, specifically Outlook, Word, and Excel, and Adobe
Extensive proven experience to prepare tables, charts, presentations and markups using Microsoft Office tools
Experience using Project Management tools
Excellent oral and written skills (no typos, grammar errors or sloppy formatting)
Exceptional organizational skills necessary in a fast-paced environment for multi department project management
Ability to draft correspondence and various legal documents
Must be able to effectively multi-task and manage time sensitive documents
Must be able to function effectively in a busy, team oriented environment
Must be able to work on multiple projects simultaneously with tight deadlines
Experience working on M&A projects a plus but not required
Experience using various litigation discovery software tools a plus but not required
General knowledge of legal terms and principles
Possess an analytical mind and be able to proofread legal documents for accuracy
Ability to work under pressure on multiple projects simultaneously with tight deadlines
Office administration experience
