Job Description
LHH Recruitment Solutions is seeking a Corporate Paralegal for an in-house opportunity. The Corporate Paralegal is in support of the GC and Compliance Attorney in securities and governance matters. The role is full time and hybrid out of Bristol, CT.
Core Responsibilities
Support GC and Compliance Attorney in securities and governance matters, including NDA's, legal entity management, and SEC filings
Manage international corporate structure. Draft board and committee minutes, prepare meeting materials, and oversee annual proxy statement and report preparation
Handle Section 16 reporting and equity program oversight
Manage corporate governance tasks such as drafting resolutions and minutes, regulatory filings, and distribution of documentation
Aid in legal transactions and coordinate Annual Shareholder Meeting
Administer IP database and conduct legal research.
Handle contract management and support IP management
Assist with special projects like litigation reporting and budget tracking
Contribute to standardizing and automating processes for Corporate Compliance, Shareholder Relations, and annual Proxy Development
Qualifications
8+ years of experience as a Corporate Paralegal, required
Experience working in-house for a publicly traded global organization, highly preferred
Bachelor's degree, required; Paralegal certificate preferred
CounselLinks and Diligent Entities experience, a plus
