Candidate Responsibilities:

  • Support all aspects and stages of real estate transactions, with an emphasis on title and survey review, due diligence review, document preparation, closing logistics/mechanics coordination and post-closing integration and administration.
  • Assist with the preparation, review, editing and negotiation of legal documentation (including, purchase and sale agreements, amendments, closing documents, access and license agreements, easement documents, declarations, confidentiality agreements, brokerage and listing agreements, letters of credit, and leases).
  • Coordinate due diligence for a variety of commercial and residential real estate transactions, including, acquisitions and dispositions, borrowings, etc.
  • Document Drafting: Proficient in legal document drafting; familiarity with real estate transactional documents, as well as corporate drafting experience (corporate resolutions, organizational documents, amendments, etc.).
  • Prepare and file a variety of documents, including, deeds, mortgages, memoranda of leases, UCC financing statements, etc.
  • Oversee work of outside counsel as it relates to unlawful detainer, ejectment, zoning disputes, code violations, and environmental regulations.
  • Corporate Governance: Experience in business entity set up and management; assist with the company’s annual meeting of shareholders and in preparing materials for meetings of the company’s Board of Directors, including resolutions.
  • Contract and Records Management: Maintain an organized system for record retention and file maintenance.
  • Experience working in real estate or private equity investment funds and with preparation of routine securities filings (preferred but not required).
  • Experience in acquiring and protecting trademarks and intellectual property (preferred but not required)
  • Experience with the Telephone Consumer Protection Act, Telemarketing Sales Rule, and data collection and privacy laws and regulations (preferred but not required)
  • Project tasks and project management responsibilities, as assigned from time-to-time.



Requirements:

We are seeking a Paralegal with three (3) years or more of experience to join our growing team. This position requires the ability to work independently but also take direction and work within a team dynamic. Candidates must have a strong work ethic, ability to prioritize and manage deadlines, have strong verbal and written communication skills and be detail oriented. Experience and competency with the following tools are preferred: Microsoft Office, Westlaw/Lexus Nexus/Bloomberg, Excel.
