The General Counsel's office seeks a full time lawyer to serve as Associate or Assistant General Counsel. The position will ultimately be located in any office location of Womble Bond Dickinson (US) LLP and is eligible to be remote.

The role will be responsible for: (i) ethical and business conflicts of interest analysis and resolution, including identifying and resolving conflicts of interest issues relating to existing and potential new business; (ii) reviewing conflicts of interest reports as part of the firm's new business intake and lateral clearance process; (iii) clearing and onboarding lateral hires; (iv) reviewing, drafting and editing client-facing documents, including engagement letters, waiver letters, outside counsel guidelines and non-disclosure agreements; and (v) other ethics and professional responsibility related duties as assigned.

Beyond the day-to-day ethics and conflict resolution responsibilities, the role will develop the Firm's risk mitigation policies and compliance procedures. Duties will include collaborating with the partnership, the functional heads of the Firm's administrative departments, and appropriate personnel as needed to identify areas of compliance risk and potential liabilities and to mitigate risk for the Firm. This role will serve as the Firm's central point of contact for compliance and risk management matters, including information security, records services, and data privacy. The role will also help lead the Firm's loss prevention programming.

Additional responsibilities will likely include implementing strategic initiatives and providing firmwide lawyer and employee training. Candidate will be expected to interact with lawyers and other firm personnel to discuss conflicts of interest issues and related processes and procedures.

Essential Duties:
  • Clear ethical and business conflicts of interest.
  • Manage client onboarding, including reviewing and drafting conflicts of interest waivers and client engagement letters, and serving as a resource for compliance with client outside counsel guidelines, including providing guidance on client policies and negotiating changes, as needed.
  • Advise the Firm, General Counsel, and department liaisons on best practices in risk management and compliance to minimize areas of identified risk and liability.
  • Collaborate with appropriate firm leadership and personnel to ensure information security and data protection. Define, implement and enforce information security and data privacy/compliance policies.
  • Document relevant policies and procedures, while working with senior management to drive a culture of compliance.
  • Coordinate responses to client and vendor questionnaires/audits.
  • Undertake internal audits and/or gap analyses to determine to what extent the Firm is compliant with applicable regulations and industry standards.
  • Oversee the emergency preparedness and business continuity plans, procedures and training in conjunction with relevant administrative leaders.
  • Liaison with the records functions of the firm, including retention policies and enforcement, compliance with litigation hold and discovery requests, transfer and intake of files, as well as federal and state record compliance requirements.

Job Requirements:
  • Command of the Model Rules of Professional Conduct.
  • Juris Doctorate from an accredited law school and licensed (in good standing) in the jurisdiction in which the candidate is located.
  • At least 3-6 years of broad experience working in law firms.
  • Understanding of how legal issues impact law firms.
  • High degree of professional ethics.
  • Strong verbal and written communication skills.
  • High level of judgment, applying knowledge and experience to provide practical and effective business solutions.
  • Demonstrated ability to maintain confidential and sensitive data.
  • Responsive with a sense of urgency and ability to prioritize tasks.
  • Creative problem-solving with a mindset to getting to "Yes".
  • Strong attention to detail with ability to work efficiently and with precision.
  • Ability to work effectively with people at all levels in an organization.
  • Ability to work with minimal supervision in a fast-paced environment while juggling multiple competing tasks and demands.

  • Prior conflicts experience at large law firm a plus.
  • Working knowledge of Intapp intake/conflicts software highly desired.
