Our client, a premiere boutique law firm specializing in business litigation, transactional corporate law, and real estate, is seeking a Corporate Associate to join its team. The ideal candidate will have the opportunity to work on a broad range of corporate and transactional matters, including corporate restructuring, stock and asset sales, joint ventures, mergers and acquisitions, loan agreements, construction contracts, and entity formation. This role will require drafting and negotiating complex agreements, managing corporate governance issues, and addressing UCC disputes. The Corporate/Business Associate will also play a key role in negotiating partnerships and advising on bylaws and other legal matters.

Job Details

Responsibilities:

• Provide legal support and guidance on corporate restructuring, stock and asset sales, joint ventures, mergers and acquisitions, loan agreements, and construction contracts.
• Draft, review, and negotiate various corporate and commercial agreements.
• Assist in entity formation and manage corporate governance issues.
• Advise on bylaws and other corporate legal matters.
• Manage UCC disputes and provide solution-oriented advice.
• Negotiate partnerships and other business relationships.
• Collaborate with other team members to ensure a consistent and integrated approach to providing legal advice.
• Stay updated on industry trends, laws, and regulations affecting the business.

Qualifications:

• Juris Doctorate degree from an accredited law school.
• Licensed to practice law in the state of Michigan.
• 4-7 years of relevant experience in corporate and transactional law.
• Proficient in corporate restructuring, stock and asset sales, joint ventures, mergers and acquisitions, loan agreements, and construction contracts.
• Experience in drafting and negotiating complex agreements.
• Familiarity with entity formation, corporate governance, bylaws, and UCC disputes.
• Strong negotiation skills, particularly in the context of partnerships and other business relationships.
• Excellent communication, interpersonal, and organizational skills.
• Ability to work independently and as part of a team.
• Strong analytical and problem-solving skills.
• Ability to manage multiple tasks and meet deadlines.
• High degree of professional ethics and integrity.
• Proficiency in legal research tools and Microsoft Office Suite.
