Job Summary:



 



The Senior Counsel-Corporate and Commercial Law position requires a candidate with exceptional advisory, analytical, and communication skills.  The role will require counseling the commercial business regarding commercial contracts, retail programs, and wholesale programs with a focus on providing guidance regarding compliance with antitrust and competition laws.  This role will be additionally focused on providing legal advice to the consumer marketing and activation functions and supporting their initiatives.  The role will require analysis of complex laws regarding consumer-focused advertising and promotions, including traditional advertising compliance, digital marketing, cause marketing, sponsorships, contests, advising on marketing claims, etc.  The role will also require counseling regarding the applicable laws and settlement agreements specific to tobacco products and the tobacco industry. 



Principal Duties & Responsibilities:


 




  • Counsel operating companies regarding branded activations, including conformance with applicable federal, state, and local laws pertaining to product promotion, discounting, couponing, etc.

  • Counsel operating companies regarding brand sponsorships, including integration of the sponsorships across a wide spectrum of marketing touchpoints.

  • Counsel operating companies regarding brand activations and trade marketing in non-traditional channels, including digital channels and brick-and-mortar outlets outside of current retail coverage.

  • Counsel operating companies and external affairs regarding legal issues associated with earned media.

  • Counsel operating companies regarding legal issues associated with leveraging emerging retail capabilities in the digital space and other off-set opportunities.

  • Counsel operating companies regarding contracts and programs with retailers, sub-jobbers, and wholesalers.  Regularly attend meetings and meet with individuals in the trade marketing function in order to provide advice and guidance to regarding compliance with competition laws.

  • Counsel operating companies regarding compliance with federal, state, and local laws bearing on product sales and marketing, including the monitoring of developments in those areas bearing on future commercial business opportunities.

  • Counsel operating companies regarding general commercial business matters, including drafting, reviewing, and/or negotiating commercial agreements.

  • Manage commercial litigation pertaining to marketing, advertising, intellectual property, tobacco-specific laws and settlement agreements, and other commercial matters.

  • Advise and approve consumer marketing materials for the operating company brands, based both on applicable law and BAT and/or Reynolds marketing policies and guidelines.

     



Job Requirements:



 



Required Education & Experience:

 




  • Juris Doctor degree

  • 5+ years legal practice; experience counseling clients regarding competition law and/or experience providing counsel regarding regulated products preferred





Required Skills:

 



Strong oral and written communications, negotiation, and problem-solving skills; ability to research and resolve complex legal issues; ability to interact effectively with business personnel; strong leadership skills; ability to manage conflicting demands in order to meet the goals of the commercial business; flexibility and willingness to adapt to new environments and challenges
