Senior Paralegal - Corporate and Securities - Full-time / Part-time

Job Description

We are looking for an experienced paralegal to support corporate legal and governance matters and filing certain forms and reports with the Securities and Exchange Commission. The ideal Paralegal is motivated, inquisitive, and committed to providing outstanding service every day. Key Responsibilities will include...

• Manage the development and execution of board materials, meeting calendar and act as liaison between General Counsel, Board of Directors, Executives and Committee Chairs.
• Project manager for Nordstrom's Proxy Statement, including preparation of Director and Officer questionnaires, collaboration and decision maker for document development, proofreading and coordination with other departments.
• Preparation, review and submittal of reports filed with the SEC under the Securities Exchange Act of 1934, including Form 13G, Form 3, 4 and 5s, and 10b5-1 Plans for Section 16 Insider reporting requirements.
• Manage corporate governance documents, including meeting minutes, corporate policies, charters and board meeting agendas.
• Assist with review of legal documents (i.e. nondisclosure agreements, public relations).
• Research and development of product compliance.
• Intake of inquiries from internal clients and identify internal legal resource to process.
• Support Treasury department with processing transactions, including capital contributions, share repurchases, line of credit agreements and preparation of credit documents.
• Manage and process quarterly dividend payments.
• Independently oversee Company and subsidiary management including minute books, draft resolutions, prepare and file state qualifications, collaboration with tax and treasury entity activity, and prepare and file merger/dissolution documents.
• Coordination of Annual Meeting of Shareholders, including communicating and managing information to stock transfer agent, proxy solicitor, printer, brokers, stock exchanges and others relating to preparations for meeting including printing and dissemination of proxy material, voting procedures, meeting preparations, and agenda.
• Independently manage Insider Listings, trading window calendars, policy guidelines and collaborate with key partners across the Company ongoing maintenance and updates.

Qualifications...

• Excellent written/oral communication skills.
• Strong proficiency with Word, Excel, Internet searches and Outlook.
• Minimum of 5 years of experience as a corporate paralegal.
• Corporate in-house experience preferred.
• Paralegal certificate or equivalent education.
