About this job

As the Senior Counsel/Assistant General Counsel - Corporate & Securities, you will provide critical legal counseling and support with respect to a variety of corporate, securities, governance, transactional and commercial matters which arise from the day-to-day operations of a complex, public company.

Key Responsibilities
  • Providing legal counsel on the full spectrum of general corporate matters, including joint ventures, financings, acquisitions and divestitures and other business development activities.
  • Assisting the Company's Corporate Secretary in ensuring the proper recording of Board and Committee minutes and managing communications between the Board, Board Committees, senior management, investors and other stakeholders.
  • Providing legal advice and counsel on federal and state securities laws matters, including preparing and reviewing Securities and Exchange Commission filings, proxy statements, etc.
  • Developing a thorough understanding of and familiarity with the Company's business, its people, markets, facilities, customers and competitors, in order to identify trends and formulate appropriate structures and strategies.
  • Counseling business teams on legal and compliance matters relating to transactions, including antitrust issues.
  • Establishing a strong rapport and working relationship with SHC's business units to help drive the delivery of effective and high quality legal services appropriately linked to the Company's business objectives.

  • Strong working knowledge of corporate, contract and federal securities laws

QUALIFICATIONS:
  • At least four (4) years' experience as a corporate/securities lawyer in a first tier law firm and/or law department
  • Demonstrated exceptional professional and academic achievement
