Sears Holdings is looking for a smart, fun, and creative attorney to join our legal team to support our transition from a traditional brick-and-mortar retailer to a nimble, digital-focused company centered on one question: How can we make our members' lives better? Some of the ways that we are doing that are by giving members an expansive product offering through the Sears.com Marketplace, helping them earn Shop Your Way reward points by doing what they do every day - like taking an Uber, sending them a text when their basement is flooding, and even by picking up their groceries and delivering them to their door with the new Shop Your Way Relay app.

As a Senior Counsel on the Integrated Retail Team, you will report to the Assistant General Counsel for eCommerce, Member Programs, and Privacy. You will be the main contract support for the Online and Shop Your Way business units, as well as our Wally Labs subsidiary - which makes connected products. Your work will focus on the contract needs of these teams, but you will also work with the business on things like: new eCommerce initiatives, issues with Sears Marketplace sellers, disputes with vendors, queries from government and private parties about products sold online, and new member services programs, along with the occasional special project.
Your typical day may look something like this:
  • Meet with senior business leaders on a new eCommerce and in-store combo initiative
  • Review redlines from the other side about onboarding a new eCommerce vendor
  • Call outside counsel to get their thoughts on a unique aspect of a new customer loyalty initiative
  • Respond to a regulator about a product sold on the Sears Marketplace, and work with the eCommerce team to create a ban for similar products
  • Grab a co-worker and head to the on-site cafeteria for lunch, or maybe go downstairs to the gym for a fitness class before grabbing a bite at the deli on your way back to your desk
  • Meet with the partnership development team about a new loyalty partnership that they are working on
  • Draft an NDA for Wally Labs
  • Turn around redlines on a SYW partnership agreement


We want you to succeed, so you need to be:
  • Adaptable, and eager to learn and do new things
  • Great at writing, and able to make complex legal things easy to understand
  • Smart, and able to quickly learn new things
  • Comfortable with complex contracts and negotiating to get the deal done
  • The kind of person who loves to look for ways to do things differently and better - you think up new ideas and run with them
  • A team player, willing to pitch in wherever you're needed
  • Client-focused - you automatically want to understand your client's needs and work with them to achieve their goals
  • Organized and able to work on tight timelines while handling multiple projects
  • Friendly, with a sense of humor
  • A lawyer with at least 4 years of legal experience
  • Licensed to practice law in at least one state in good standing, and able to gain admission to the Illinois Bar
Extra awesome - we would be excited if you also:
  • Have experience with customer loyalty programs
  • Have experience drafting and negotiating SaaS agreements
  • Have experience drafting and negotiating business partnership agreements
  • Have excellent law school grades
  • Have both law firm and in-house experience
  • Have eCommerce experience
  • Know some privacy law
