About this job
The Sr. Paralegal is responsible for governance and documentation matters for Chipotle’s domestic and international operating subsidiaries, including overseeing corporate minute books for each subsidiary, as well as designated legal matters including SEC reporting responsibilities, commercial contract review, general corporate matters, and assistance with various responsibilities of the Corporate Compliance Counsel.
In addition to following Chipotle’s policies and procedures, principal responsibilities include, but are not limited to:
Corporate Minute Books
• Maintaining minute books for domestic and international subsidiaries, including preparation of company resolutions, minutes, and other documentation
• Creating and implementing an electronic storage system for subsidiary minute books
• Conducting annual maintenance activities for each domestic and international subsidiary
Board of Directors Matters
• Preparing meeting materials for Board and Committee meetings
• Creating and implementing an electronic Board book system to facilitate distribution of Board and Committee materials and preserve confidentiality
Additional Responsibilities
• Reviewing and approving commercial contracts, such as sponsorship agreements, vendors for services relating to IT and operations, etc.
• Preparing reports of changes in beneficial ownership for officers and directors, as required by Section 16 of the Securities Exchange Act of 1934 (i.e., Forms 3, 4, and 5).
• Assisting in preparation of SEC filings, including annual proxy statement and annual report on Form 10-K
• Designing and implementing policies and procedures to enhance and ensure compliance with various legal requirements
• Assisting in preparing compliance-related training materials
• Gathering, reviewing, and producing evidence for discovery and similar legal proceedings
• Preparing documentation for stock plan awards and other compensation-related arrangements
The ideal candidate will:
• Have knowledge of and the ability to use a PC as well as Microsoft Office Suite
• Possess excellent interpersonal and written/verbal communication skills
• Be able to effectively manage priorities and projects in a fast-paced environment
• Have the ability to professionally manage confidential information
• Have a B.A./B.S. in a related field and/or paralegal certification
• Have eight (8) to ten (10) years of related work experience, ideally in an in-house setting, that includes primary responsibility for corporate maintenance of domestic and international companies, SEC reporting, contract review and management, and litigation matters
