POSITION PURPOSE

This position provides primary transactional support to the Company’s Information Technology and Information Security teams, and supports Procurement in the negotiation of commercial and technology contracts.  The successful candidate must have the ability to identify and analyze complex legal issues, draft and negotiate a variety of agreements (including SaaS, XaaS, software licensing, telecom, managed services, big data warehousing, joint development, and outsourcing), and present appropriate recommendations to minimize the legal exposure of the Company in vendor contracts.

MAJOR TASKS, RESPONSIBILITIES, AND KEY ACCOUNTABILITIES
  • Ability to manage heavy transactional practice with primary focus on technology vendor agreements, including SaaS, XaaS, software licensing, telecom, managed services, big data warehousing, joint development, and outsourcing.
  • Responsible for drafting, negotiating and managing key vendor agreements from RFP stage through contract execution and beyond.
  • Provide advice and counsel regarding post-execution issues including issues related to license deployments, new technology considerations, and payment disputes.
  • Accurately identify and assess contractual, business and market risks and advise business groups on risk mitigation strategies.  A working knowledge of data privacy issues, open source licensing, and new technology licensing models and trends required.
  • Advise Information Technology, Information Security and Procurement teams with regard to day-to-day legal and regulatory issues.

  • Typically reports to an Associate General Counsel
  • Areas of specialization are Technology and General Commercial Transactions

Located in a comfortable indoor area. Any unpleasant conditions would be infrequent and not objectionable. 

Travel:
Typically requires overnight travel less than 10% of the time.

  • Must be eighteen years of age or older.
  • Must be legally permitted to work in the United States.
Education Required:
The completion of a Juris Doctorate or equivalent and required certifications for practicing law. 

Years of Relevant Work Experience: 8-12 years
Physical Requirements:
Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasions there may be a need to move or lift light articles.

Preferred Qualifications:
  • Prior experience as in-house counsel. 
  • 8-12 years of practice experience.

  • The ability to work independently on numerous activities and prioritize them properly while meeting deadlines.
