Overview
Responsible for day-to-day management, administration and coordination of franchise related matters for System Optimization, including maintaining ongoing communication with franchisees and cross-functional Wendy's teams, drafting and review deal documents prior to execution, abstraction of leases, development requirement tracking, and quarterly reporting of changes in franchise ownership. Reporting to the Vice President - System Optimization.
Specific Responsibilities Include
  • Manages all aspects of the documentation process for approved acquisitions / dispositions of operating restaurants and Buy/flip transactions including Confidentiality Agreements, Letters of Intent, Asset Purchase Agreements, Lease/Sublease Agreements, Development Agreements, Letters of Agreement, Relationship Agreements, and FDP Agreements if applicable. Reviews all documents to ensure they are consistent with approved deal terms (new restaurant development, reimaging, FAR requirements) and communicates required revisions to supervisor and attorney as appropriate. Maintains ongoing communication with franchisee & their counsel, Wendy's regional teams, and legal personnel to ensure all deal points are accurately reflected and facilitates orderly transition of restaurants.
  • Manages the abstracting of third party leases provided by sellers to create lease and sublease schedules for Buy/flip transactions. Works with franchisees and their counsel, as well as Legal and Portfolio Management to clear up any inconsistencies in the leases.
  • Leads the preparation, review, presentation and documentation of abstracting all System Optimization deals through deal summaries for distribution to cross-functional teams. Manages and ensures compliance with System Optimization requirements such as development agreements, legal agreement provisions, and other key brand initiatives or projects. Prepares and distributes quarterly reporting on compliance with Development and other requirements in Letters of Agreement. Makes recommendations to supervisor regarding Franchise non-compliance issues. Creates reporting and supporting materials required to drive decisions with Senior Leadership.
  • Partners with Director, System Optimization, Legal, and Accounting teams to manage future projects that have resulted from SOIII and Buy/Flip dispositions. These include the construction and opening of WenPay projects, as well as future restaurants that will require a subsequent closing. Ensures required documentation is executed, relevant parties are alerted to subsequent closing and that there is a smooth transition of these restaurants.
  • Works closely with Franchise Recruiting to identify and approve potential buyers (both existing and new franchisees) for Buy/flip and/or System Optimization deals.
  • Manages FAR review and inspection process. Ensures franchisees receive a copy of the relevant FAR's prior to inspections. After inspections are completed, reconcile deficiencies noted by franchisees with what is covered by the FAR.
  • Manages due diligence process for acquisition/divestures and buy/flips. Ensures Wendy's is provided with all necessary due diligence items. Provides information to title company and surveyor to ensure reports are executed timely. Works with franchisee sellers to provide information relating timing of title and surveys. Works with franchisee buyers to ensure they have access to due diligence information.
  • Manage all aspects of the transition process including distribution of weekly timeline, distribution of deal information via Sharepoint, creating Disposition Information forms to be used by the legal department, and creating fact sheets to be used by Communications in creation of system memos. Serves as a proficient and knowledgeable representative of the System Optimization department to the franchise community, regional and support center personnel and outside contacts (e.g. attorneys, lenders, and brokers) through phone contact and correspondence. Assists with development of new programs and/or procedures to support department functions. Performs other job related duties as may be assigned or required.

Education / Experience

  • Bachelor's Degree: Business or equivalent background
  • 3-5 years professional work experience preferably in a corporate environment with an emphasis in franchise, legal, real estate development, or administration.
  • Strong interpersonal skills, including written and verbal communication; ability to multi-task and prioritize; analytical, problem solving and trouble shooting skills; administrative and organizational skills.
  • Strong computer skills including competency in Microsoft Office (Outlook, Word, Excel, PowerPoint).
  • Ability to balance work load while continually reprioritizing.
