OVERVIEW:

The role of Associate Tax Planning Counsel involves providing comprehensive tax planning analysis, consultation, and decision support across various federal, state/local, and international tax matters. The incumbent will play a crucial role in identifying proactive measures to minimize potential tax exposures.

RESPONSIBILITIES:

  • Conduct thorough analysis of a wide spectrum of domestic and international tax issues concerning entity formation and continuation, encompassing entities such as C corporations, S corporations, disregarded entities, partnerships, trusts, and controlled foreign corporations.
  • Assist in addressing all tax aspects pertaining to acquisitions, restructurings, and other business development transactions.
  • Collaborate with cross-functional teams to model proposed transactions, aid in tax due diligence, and review legal agreements.
  • Provide support to the compliance and financial reporting functions within the Tax department.
  • Conduct research and prepare memoranda documenting tax positions.
  • Draft and review tax-related contracts, resolutions, agreements, and other pertinent legal documentation.
  • Prepare and review audit responses requiring robust technical reasoning and substantial factual development.
  • Continuously update and expand knowledge base regarding emerging tax issues.
  • Deliver timely updates on proposed tax changes and, if necessary, analyze and advise on strategies to mitigate adverse tax impacts.
  • Offer tax advice upon request to the relevant executives.

REQUIREMENTS:

  • Juris Doctorate degree
  • Licensed to practice law in one of the fifty states
  • Two (2) years of tax experience (post education)
  • Excellent verbal and written communication skills necessary in order to persuade and influence decision making of individuals, groups, or work teams, and to explain

difficult technical issues
  • Ability to build relationships and deal effectively across functional lines
  • Proven analytical problem solver
